New plan offered for Queen Mary site

LONG BEACH — A group headed by a Woodland Hills real estate developer and a music executive will hold the main lease on the Queen Mary if a reorganization plan filed Friday in a Los Angeles bankruptcy court is approved.

Facing a Friday deadline, Joseph Prevratil, president and CEO of Queens Seaport Development Inc., filed a plan to emerge from bankruptcy by selling the master lease to Pacific Queen Holding LLC, owned by Michael Adler and David Arden, brother-in-law of rocker Ozzy Osbourne.

 

Adler said his company would be paying off the existing debt, although he would not go into details. He also said he couldn't be specific about development plans until after meeting with Long Beach city officials.

He said he was excited to move forward.

 

"I know a lot of people have tried with not a lot of success," he said of past failures to develop the Queen Mary area. "I think the time is right for a project like this. I think we have the team to do that."

 

Although he hasn't submitted a development plan to the city, Adler reiterated interest in possibly adding a marina, retail space and possibly a second hotel. He also intended to explore talks about cruise line expansion.

"There's a lot of things out there," Adler said. "In about three or four months, it will be a lot clearer."

 

Deputy City Attorney Charles Parkin said the city was hoping to see the reorganization plan Monday and has been contacted by Adler's group to set a meeting.

 

Five groups made proposals to assume debt and take over and develop the 55-acre parcel of land surrounding the historic luxury liner, which is owned by the city of Long Beach and leased.

 

Joseph Eisenberg, an attorney for Prevratil, said that of the suitors, Adler's group had the right mix of credibility and cash.

 

"There were offers made in excess of the one accepted, but those were diminished by a lack of credibility or available funds," Eisenberg said.

Eisenberg added that the RMS Foundation, a nonprofit group that operates the Queen Mary, would be unaffected by the deal.

 

The plan also is likely to end Prevratil's long-running and often contentious relationship with Long Beach officials.

 

"It is not anticipated Mr. Prevratil will continue in his current position," Eisenberg said.

 

Prevratil said it was too early to say whether he would remain connected with the operation.

 

"My primary objective is to preserve the Queen Mary jobs, which is why RMS is not involved," Prevratil said.

 

QSDI, which has run the Queen Mary since 1995 under a 66-year lease, filed for Chapter 11 bankruptcy protection in March after the city declared the company in default of its lease.

 

QSDI executives say the credits were taken under a lease provision that allows a rent discount for money QSDI spends to develop the property. But city officials say the credits were for inappropriate work and have demanded the money.

 

U.S. Bankruptcy Judge Vincent Zurzolo will decide the issue.

 

QSDI also owes more than $24 million to Barney Ng, a Northern California investor who has loaned money to QSDI to help spark development around the ship.

 

Under a court-granted extension, QSDI had until Friday to submit a plan to reorganize and emerge from bankruptcy. If no plan had been filed, other parties would have been allowed to submit plans for the judge to consider.

Adler's group emerged ahead of several competitors including Beverly Hills developer Edward Czuker and Bandero LLC, a minority shareholder of QSDI that has sought development at the site since 2003.

 

Adler has strong connections in Long Beach, including ownership of the International City Bank Building at 249 W. Ocean Blvd., and the building housing King's Fish House, 100 W. Broadway.

 

QSDI and Bandero have been at odds since the bankruptcy filing. In June, QSDI sued Bandero in bankruptcy court, claiming that a dispute over development rights around the ship was affecting QSDI's ability to find a suitor.

Bandero officials claim they purchased "development rights" around the ship in 2003. In its lawsuit, QSDI claimed Bandero purchased the right to participate in waterfront development.

 

City officials maintain that they must approve the transfer of any development rights around the ship and have not done so.

In a recent court filing, Bandero's attorneys suggested they would seek to submit a reorganization plan of their own if QSDI selected another suitor.

Prevratil said he was relieved to have a plan in place and looked forward to resolving the remaining issues with the property.

Hapag-Lloyd's MV Europa has been voted the world's best cruise ship for the sixth consecutive year.


The 1999-built ship, which carries 408 passengers, is so high scoring in Berlitz's annual guide to cruising that guide author, Douglas Ward, has created a new five-stars-plus category for it.

The guide rates all 269 cruise ships currently sailing the world's seas, and only 18 made it into the prestigious five-stars club, down from 20 the previous year.

Hebridean Spirit and Hebridean Princess are no longer part of the club, while Cunard's Queen Mary 2 went down several places after scoring less than last year.

"Any ship on the top 18 five-star list can be considered to deliver the utmost in luxury," said Ward.

But he added that there was "no best cruise line in the world". Different ships would be suitable for different people depending on what they were looking for in a holiday – luxury, romance, rest, adventure, teen fun or sports for children.

He does, however, devote a section in the Complete Guide to Cruising & Cruise Ships 2006 to luxury cruises.

"Luxury cruises are very special," he said. "Staff will know passengers by name, and provide them with the finest in amenities. Guests don't have to endure announcements and mindless background music in public rooms, and the menus are highly creative, with items like caviar, foie gras and fresh, not frozen vegetables in abundance."

"QM wants more time for deals

LONG BEACH --The Queen Mary's operator has asked for two more weeks to come up with a plan to emerge from bankruptcy, claiming it has four potential partners willing to pay its debts and develop land around the ship.

 

Queen's Seaport Development Inc. asked for the extension in an effort to continue those talks and avoid a looming Friday deadline to submit its reorganization plan.

 

Joseph Eisenberg, QSDI's attorney, said that Judge Vincent Zurzolo has approved the request, which was made Tuesday. But official court records had yet to reflect the approval Wednesday.

In seeking the extension, QSDI argued that a weeklong Chinese banking holiday has tied up negotiations with a potential Asian investor, and that the Jewish High Holidays and Columbus Day have held up talks with others.

 

"I think we have very good suitors, as I call it, and I think we need a little more time to properly evaluate them all,'' said Joseph Prevratil, QSDI's president and CEO.

 

In its court filing, the company said it has four potential suitors willing to steer the company out of bankruptcy.

 

QSDI filed for bankruptcy protection in March after a lengthy dispute with the city of Long Beach, which owns the Queen Mary and its surrounding 55 acres.

 

City officials claim the company defaulted on its 66-year lease to run the ship and develop the land by taking more than $4 million in inappropriate rent credits since 2001.

 

QSDI disputes the city's conclusion, saying the credits were allowed by the lease.

 

The city is one of dozens of creditors, however, claiming that QSDI owes them money. The largest creditor is Northern California investor Barney Ng, who has loaned QSDI more than $24 million in recent years to spark development at the site and keep the Queen Mary a viable attraction.

QSDI has until Friday to submit its reorganization and development plan, after receiving an earlier 90-day extension. The latest extension request would give QSDI until Oct. 28 to present its plan.

If the company fails to produce a plan, any group will be eligible to file a plan for Zurzolo to consider.

In its court filing, QSDI said its board of directors has met seven times in the last 10 days to discuss and analyze the four potential reorganization proposals.

 

Prevratil declined to provide details about the investors or their potential development plans.

But in the court filing, the company said ÔÔcertain of the four suitors are Asian investors.'' A seven-day banking holiday in China has held up negotiations with that suitor, the filing said.

A second suitor appears to be a new limited liability company involving one of QSDI's minority shareholders, Bandero LLC. Bandero, which owns 24 percent of QSDI, and Prevratil have been at odds since the bankruptcy filing.

 

Bandero's attorneys have previously suggested their clients would consider submitting a reorganization plan of their own. On Wednesday, attorney Vincent Coscino said that Bandero now owns 49 percent of the newly formed Queen Mary Partners LLC, which has submitted a plan to Prevratil. He declined to identify the remaining owners.

 

Coscino said Bandero hopes that Prevratil will select the Queen Mary Partners' proposal for submittal to the judge. If Queen Mary Partners is not selected, Bandero may still submit a reorganization plan of its own, he said. Bandero would need approval from the judge to submit such a plan for consideration.

 

Reorganization plans have been in flux for months. In August, QSDI asked Zurzolo to allow a $30 million short-term loan to attract another potential investor. The judge later denied the request."

Humans have been travelling by boat for millennia, but it was not until 1818 that the James Monroe, an American packet ship, initiated the age of scheduled departures. To attract passengers, advertised accommodations were upgraded from the dismal standards of the "coffin brigs" of the day, and it was not long before dozens of fleets were plying the Atlantic to satisfy the subsequent demand.

By the time the Lusitania and Mauritania (Cunard Line sister ships) were launched in 1907, steam had long since replaced sail, the screw propeller had succeeded the paddle wheel, and accommodations vied with those of the best hotels of the day. It was the Golden Age of the Ocean Liner.

But civilization continued to progress (at least, technologically), and by the 1960s, the increasingly faster and cheaper competition from the airline industry had swamped many of the ocean line companies. Most of the great vessels were either converted to cruise ships, dockside museums or hotels, or sold for scrap, and, today, only Cunard Line's new Queen Mary II still serves the transatlantic routes.

Due, in part, to James Cameron's 1997 movie Titanic, there has been a resurgence in interest in the great liners and in ocean liner memorabilia. Interest has, in fact, been so intense that in 2003 Norwegian Cruise Line bought the SS United States, moored in Philadelphia since 1996, with an eye to putting her back into service.

When a ship was to be retrofitted or decommissioned, it would very often be stripped of everything possible and all the items would be auctioned off. Ocean liner memorabilia can thus run the gamut from ashtrays, dinner plates, and linen to larger items like deck chairs, stateroom furniture, and ships' bells.

Windmill Point Restaurant in North Carolina has an SS United States Lounge furnished with items purchased at the 1984 auction of the United States' contents. These include the kidney-shaped bar from the first-class salon, ballroom tables and chairs, and the aluminum sculptures by artist Austin Purves commissioned for the ship.

Of course, the "greater" the ship, the more desirable its memorabilia. The Big U, as the United States is affectionately called, is one of the more popular, and dozens of items are listed on online auctions at any one time. (Hint: on eBay, searches with SS and S.S. will yield two different results.)

The most collectible items are, of course, associated with the ill-fated White Star liner Titanic. A prime example recently was a luncheon menu that was appraised on The Antiques Roadshow for $75,000 to $100,000! (http://www.pbs.org/wgbh/pages/roadshow/series/highlights/2004/favorites). The menu had been found on the back of a painting purchased in an antique shop. (I never give up hope that such a "find" will someday come my way.)

But while many collectors concentrate on a single ship or shipping line, many others select a category such as postcards, models, luggage tags, deck plans, menus, magazine ads, posters, photographs, and home movies - just to name a very few. An inexpensive place to start is the Cunard Line website http://www.cunard.com/default.asp where you can request free brochures of the Queen Mary 2 and Queen Elizabeth 2 (now a cruise ship).

During a ceremony in Halifax aboard Queen Mary 2, Cunard Line announced today that it will become the lead sponsor of the Sir Samuel Cunard Memorial Project, an initiative designed to honour the company's founder by erecting a commemorative monument on the Halifax Harbourfront in the fall of 2006.


Originally spearheaded by the Master of Queen Mary 2, Commodore Ronald Warwick, the Sir Samuel Cunard Memorial Project is being realized by The Halifax Foundation, the only community foundation in Nova Scotia.

"As the company that bears Sir Samuel Cunard's name, we are extremely proud to support this historic project commemorating Cunard's contribution to Halifax and Nova Scotia," said Jan Swartz, senior vice president of customer service and sales for Cunard Line.  "We look forward to the realization of this very deserving memorial."

Maritime Museum of the Atlantic Honours Cunard

The Cunard celebrations continued today at Halifax's Maritime Museum of the Atlantic, the largest site in Nova Scotia that collects and interprets various elements of Nova Scotia's marine history.
First, Commodore Ronald Warwick was inducted into the museum's Admiralty Circle, honouring his illustrious maritime career.  He joined Cunard Line in 1970 and was appointed to the Carmania as a junior officer.  He then went on to serve in various ranks on the QE2, Cunard Adventurer, Cunard Countess, Cunard Princess and Crown Dynasty.  His first command was of the Cunard Princess when she was sailing in Alaskan waters in 1986.  He was navigator on the first QE2 world cruise in 1975 and chief officer for a number of years, which included the period when the liner was requisitioned by the British Government for service in the Falkland Campaign.

Commodore Warwick first took command of the Queen Elizabeth 2 in July 1990 and helmed the ship until he departed in 2003 to oversee the construction of Cunard's new flagship, Queen Mary 2.
In addition, the museum and members of the Maritime Ship Modelers Guild, in association with the Cunard Steamship Society, unveiled the fully restored ship model of the Franconia, which Cunard debuted in 1923.  The "Franconia Project" began in July 2003 with the complete dismantling and cataloging of all parts of the ship.  The modelers then identified the many different tasks which were then assigned to working groups from the modelers' complement. 

During this period the restoration has been witnessed by countless visitors to the museum who have enjoyed watching the modelers in the workshop specially built to house the Franconia model while under refurbishment.
